1. Acceptance of Terms
By accessing or using the Adisoma platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or by sending you an email. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
2. Account Terms
- You must be at least 18 years old to use the Service.
- You must provide accurate, complete, and current registration information.
- You are responsible for maintaining the security of your account credentials. Adisoma will not be liable for any loss or damage arising from your failure to safeguard your account.
- You are responsible for all activity that occurs under your account, whether or not authorized by you.
- One person or legal entity may maintain no more than one free account.
- You may not use the Service for any illegal or unauthorized purpose. You must comply with all applicable laws in your jurisdiction when using the Service.
- You must not transmit any malware, viruses, or destructive code through the Service.
3. Subscription & Billing
- Free Trial: New accounts receive a 14-day free trial of the Growth plan. No credit card is required for the trial period. At the end of the trial, you must select a paid plan to continue using the Service.
- Paid Plans: Adisoma offers Starter ($49/month), Growth ($149/month), and Agency ($399/month) subscription plans. Annual billing is available at a 20% discount. Plan features and limits are described on our pricing page.
- Billing Cycle: Subscriptions are billed in advance on a monthly or annual basis, depending on your chosen billing cycle. Payments are non-refundable except as required by law or as explicitly stated in these Terms.
- Plan Changes: You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and you will be charged a prorated amount. Downgrades take effect at the end of the current billing period.
- Failed Payments: If a payment fails, we will notify you and provide a grace period of 7 days to update your payment method. If payment is not received within the grace period, your account may be suspended.
- Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or the advertising policies of any connected platform (Meta, Google, LinkedIn, TikTok, Pinterest).
- Create, deploy, or manage advertisements that are misleading, deceptive, defamatory, or fraudulent.
- Promote illegal products or services, including but not limited to illegal drugs, weapons, or counterfeit goods.
- Infringe on the intellectual property rights of any third party.
- Collect or harvest personal information of third parties without their consent.
- Interfere with or disrupt the Service, servers, or networks connected to the Service.
- Attempt to gain unauthorized access to the Service, other user accounts, or connected systems.
- Use the Service to send unsolicited bulk communications (spam).
- Resell or redistribute the Service without explicit written permission from Adisoma.
5. Intellectual Property
Our IP: The Service, including all software, design, text, graphics, and logos, is owned by Adisoma Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written consent.
Your Content: You retain ownership of all content you upload to or create through the Service, including ad creatives, copy, and campaign data. By using the Service, you grant Adisoma a non-exclusive, worldwide license to use, store, process, and transmit your content solely for the purpose of providing and improving the Service.
AI-Generated Content: Content generated or adapted by our AI tools (including creative adaptations and copy suggestions) is provided for your use under the same terms as your original content. You are responsible for reviewing and approving all AI-generated content before deployment.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADISOMA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- Your use of or inability to use the Service.
- Any unauthorized access to or alteration of your transmissions or data.
- Actions or inactions of any connected advertising platform, including campaign rejections, account suspensions, or policy changes.
- Errors, inaccuracies, or omissions in AI-generated content or creative adaptations.
- Any third-party conduct on the Service.
IN NO EVENT SHALL ADISOMA'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO ADISOMA IN THE 12 MONTHS PRECEDING THE CLAIM.
7. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Breach of these Terms or any applicable law.
- Non-payment of subscription fees after the grace period.
- Conduct that we reasonably believe is harmful to other users, third parties, or the Service.
- Extended periods of inactivity (12 months or more for free accounts).
Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination. After 30 days, we may delete your data in accordance with our data retention policies.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
